Haynes Boone represented Arcosa Inc. (NYSE: ACA), a Dallas-based provider of infrastructure-related products and solutions, on employee benefits and executive compensation matters in the company’s sale to CRH (NYSE: CRH), a leading global provider of building materials, for approximately $8.5 billion in enterprise value.
The sale brings together complementary businesses positioned to capitalize on growing demand for infrastructure investment, grid modernization, electrification and data center construction. The transaction expands CRH's construction materials and infrastructure portfolio, strengthening its position in the United States aggregates market and extending its capabilities in energy transmission infrastructure.
The Haynes Boone team was led by Employee Benefits and Executive Compensation Co-Chair Susan Wetzel, with support from Counsel Tiffany Walker, Attorney Courtney Benedict and Associates Keira Kuntz and Kris Lu.
“Transactions of this magnitude involve important employee benefits and executive compensation considerations that require careful planning and coordination,” Wetzel said. “We are proud to support Arcosa on this milestone transaction as the company enters its next chapter.”
CRH announced the agreement to acquire Arcosa on June 22, 2026, for $150 per share in cash. The acquisition closed Oct. 23, 2026.
