Zainab Al-Qaimi
Biography
Zainab Al Qaimi is an associate in the Investment Management Practice Group in Haynes Boone’s London office.
Zainab advises across the full fund lifecycle, with experience on both fund formation and investment transactions. Her funds practice involves working with established and emerging managers on the establishment of both onshore and offshore fund structures, from initial structuring through to closings and operational matters. She works closely with funds on the deployment of capital across early stage and growth investments, including lead investments and minority stakes, as well as the negotiation of key investor protections.
In addition, Zainab advises LPs (including institutional investors and family offices) in connection with primary and secondary fund commitments.
She also supports founders and early stage businesses on fundraising processes, diligence exercises and a broad range of ongoing corporate and commercial issues as their companies develop and scale.

- Advising NordicNinja VC, the largest Japanese VC in Europe, on the deployment of its fund, including in its capacity as lead investor in a $23 million Series B fundraising round for Lightyear Financial Ltd, a fast-growing European fintech wealth management platform offering multi-currency investment in stocks and ETFs, with support from Lightspeed Venture Partners, Mosaic Ventures, Superangel, Specialist VC, Metaplanet and others.
- Advising on Isomer Capital's fund operations across various strategies, including support on downstream secondaries transactions.
- Advising WA Capital on its acquisition of a minority stake in the general partners of funds managed by Goanna Capital Management, a global investment firm managing approximately $850 million with investments spanning high-profile companies.
- Advising on the deployment of long-standing client Octopus Ventures' Jersey protected cell company into the Kraken energy technology platform as part of a broader $1 billion demerger from Octopus Energy Group at a valuation of $8.65 billion.
- LP-side advice and fund reviews conducted for family offices and fund-of-funds in relation to investments in funds in various jurisdictions.
- Advising in relation to the structuring and deployment of $60 million to the acquisition of interests in a fund continuation vehicle and its underlying portfolio.
