Biography

John Ambler’s practice focuses on structuring and negotiating partnership, limited liability company and shareholder agreements for real estate, hospitality, investment management, and energy businesses, among others. John also works with clients to structure and design venture capital and family office arrangements, including negotiating venture capital agreements and multi-family office contractual arrangements. John advises on all matters of corporate structuring including creating tax efficient arrangements, advising on securities law considerations and developing equity incentive plans. Additionally, he assists private equity fund clients in the establishment and structuring of portfolio company investments and has assisted clients in negotiating and documenting the purchase and sale of business aircraft, including with respect to new-build aircraft from Gulfstream and Dassault. Finally, John advises partnerships, limited liability companies, privately held corporations and individuals on a range of business planning and tax issues from initial formation and operation to disposition.

  • Assisted in structuring and negotiating multiple development partnerships and limited liability companies in connection with self-storage projects across the southern United States for a major real estate investor/developer.
  • Assisted in structuring and negotiating multiple investment partnerships and limited liability companies in connection with hotel projects and property portfolio acquisitions across multiple US states, Puerto Rico and Portugal for a major hospitality developer/operator.
  • Represented a private equity fund in negotiating multiple limited liability company agreements for investments in multi-use residential/commercial properties and projects.
  • Assisted sponsors of a new investment management business focused on investments in conservation in negotiating the founding documents for that business.
  • Assisted numerous investment management companies in preparing (i) limited partnership and limited liability company agreements for entities serving as platforms for equity incentive plans, and (ii) documentation for making equity incentive awards to officers and employees.
  • Assisted sponsors of a new Wyoming based investment fund in negotiating the governing documents of management limited liability companies and an operating partnership, in connection with investments in oil and gas interests.
  • Represented a family office in negotiating a preferred equity investment in a celebrity endorsed vodka brand.
