Mina-Marie Doherty
Biography
Mina-Marie Doherty is an associate in the Investment Management Practice Group in Haynes Boone’s London office.
On the investment funds side, her practice focuses on advising established and emerging managers as well as CVCs on structuring and launching venture capital funds (onshore and offshore), as well as advising them on an ongoing basis including providing support on investments into, and divestments of, investments in portfolio companies.
On the transactional side, her practice focuses on advising venture capital funds, management teams and strategic buyers in relation to early-stage minority investing and the protections required in the context of a venture capital transaction. She also advises founders / entrepreneurs from all sectors, including fintech, biotech, consumer internet, as well as those running innovative web-enabled service companies on financing rounds and general counsel -type corporate matters as their start-up businesses grow.

- Forming NordicNinja VC's €200m EU Article 8 SFDR Luxembourg-domiciled fund comprising a Japanese-Baltic joint venture investing in deep tech growth-stage companies, cornerstoned by JBIC with Honda, Swedbank and Omron as other LPs. Ongoing principal incentivisation advice.
- Forming Octopus Ventures' deal-by-deal Jersey-domiciled PCC corporate investment structure, cornerstoned by BBB. Advising on onward investment into Kraken platform at $8.65bn valuation (primary and secondary components).
- Advising on Isomer Capital's fund operations (all vintages, including secondaries and opportunities funds), having advised on formation.
- Forming 4BIO's $100m life sciences fund, with ongoing advice on scaling investment strategy through strategic partnerships.
- Forming Counteract Ventures' £35m EU Article 9 SFDR carbon-neutral fund with offshore Guernsey manager, from structuring and warehousing to close.
- Forming Saras Capital's biotech funds I and II, with ongoing advice on management incentivisation, LP introducer and management company staking arrangements.
- Forming £30m health tech fund, from structuring and warehousing to close.
- Advising well-known VC manager on new solo-GP deep-tech fund formation project.
- Forming Zero Carbon Capital's £20m decarbonisation fund, with ongoing deployment and carried interest advice.
- Forming Octopus Ventures' "First Cheque Fund".
- Advising Wilshire on launch of BBI-backed €50m Luxembourg-domiciled fund-of-funds and co-investment structure.
- Advising Entrepreneur First on carried interest grants and transfers.

- Advising Middle Eastern state-owned pension fund on restructuring certain of its ~$140bn assets.
- Advising WA Capital on GP staking deal in Goanna Capital's management company (growth stage tech funds, valued at $900m).
- Advising Neuberger Berman, AXA Venture Partners, Spheres Ventures, Kimera Capital and other family offices and fund-of-funds on investments in multi-million/billion-dollar funds across multiple jurisdictions.
- Advising on regular LP interest transfers.
Secondaries Transactions
- Advising well-known VC manager on secondary and direct investment in well-known New York-based digital advertising company as part of Series G round at $2bn valuation.
- Advising well-known VC manager on direct secondary investment in Cyberhaven ahead of $1bn Series E round.
- Advising well-known VC manager on secondary acquisition of venture investment portfolio.
- Advising Middle East-based family office on continuation vehicle investment into high-profile Chinese technology company.
Corporate / Downstream Fund Deployment
- Advising NordicNinja VC on (1) $42m Series B in HIVED; (2) $24m Series A in Griffin; (3) $23m Series B in Lightyear; (4) $12m Series A convertible in HIVED; and (5) UK expansion, including management incentivisation and advisory company restructuring.
- Advising well-known Middle East-based family office on investment in Varo Money Inc.'s Series G round.
- Advising health tech company Proximie on its $38m Series B round, led by F-Prime Capital.
- Advising Breega on lead role in £15m Series A round, including due diligence.
- Advising Isomer Capital on secondary acquisition of well-known tech fund.
