Biography
Mina-Marie Doherty is an associate in the Investment Management Practice Group in Haynes Boone’s London office.
On the investment funds side, her practice focuses on advising established and emerging managers as well as CVCs on structuring and launching venture capital funds (onshore and offshore), as well as advising them on an ongoing basis including providing support on investments into, and divestments of, investments in portfolio companies.
On the transactional side, her practice focuses on advising venture capital funds, management teams and strategic buyers in relation to early-stage minority investing and the protections required in the context of a venture capital transaction. She also advises founders / entrepreneurs from all sectors, including fintech, biotech, consumer internet, as well as those running innovative web-enabled service companies on financing rounds and general counsel -type corporate matters as their start-up businesses grow.

Investment fund GP-side work
- Launch of NordicNinja VC's €200m EU Article 8 SFDR Luxembourg-domiciled fund comprising a Japanese-Baltic joint venture. The fund is cornerstoned by Japan Bank of International Cooperation (JBIC).
- Launch of 4BIO Capital’s $100 life sciences fund and ongoing assistance in relation to scaling-up of investment strategy through strategic partnerships and legal arrangements.
- Launch of Octopus Ventures’ £10m pre-seed fund investing in B2B software, fintech and health start-ups.
- Advising ultra-HNWI in respect of GP staking deal in growth stage technology fund managed by global firm valued at $900m.
- Advising well-known venture manger on formation of deal-by-deal Guernsey-domiciled PCC corporate investment structure.
- Establishment of £30m health tech fund, from initial structuring and warehousing of investments to close.
- Advising on Saras Capital’s funds I & II, and providing ongoing advice in relation to management incentivisation, and LP introducer and management company staking arrangements.
- Advising on Isomer Capital’s fund operations (across a number of vintages and strategies) and deployment of the same.
- Launch of Counteract Ventures’ £35m EU Article 9 SFDR carbon-neutral fund, from initial structuring and warehousing of investments to close.
Investment fund LP-side work
- Regular LP-side advice and fund reviews conducted for US-, UK-, Europe- and Middle East- based family offices and fund-of-funds in relation to investments in multi-million/billion dollar funds – including agriculture, fintech and deep tech funds based across multiple jurisdictions (UK, US, Europe, Channel Islands, Cayman etc.).
Corporate / downstream fund deployment deal experience
- Advising in respect of NordicNinja VC’s (1) lead $24m Series A investment in Griffin (banking as a service platform); (2) lead $42m Series B investment in HIVED (zero emission parcel delivery platform); and (3) UK expansion, including through management team incentivisation, advisory company restructuring and other general counsel matters.
- Advising well-known Middle Eastern family office on investment in US-based Varo Money Inc.’s Series G round.
- Advising on well-known venture manager’s secondary acquisition of high profile tech fund.
- Advising on supply chain technology company’s asset sale and subsequent wind-down.
- Advising well-known Singapore-based climate tech family office’s UK expansion.
- Advising well-known international materials science company on cross-border restructuring.
- Advising digital D2C investment manager start-up built for new generations (specifically, millennials), giving retail investors access to the full spectrum of institutional portfolio construction and on investment decisions.
- Advising UK health tech company on its $38m Series B round, led by US institutional investor.
- Advising data-driven estate agency platform company on its £4.5m Seed round, comprising equity and debt, led by VCT fund.
- Advising uniquely-placed fintech start-up with infrastructure to enable relationships between buyers of fresh produce and a diversified base (beyond Europe and North America) of suppliers through a B2B marketplace and various fintech services in respect of multiple (debt and equity) funding rounds.
- Advising Paris-based European VC fund on lead role in $15m Series A round.
