Aaron Fermahan
Biography
Aaron Fermahan is an associate in the Corporate Practice Group in the London office of Haynes Boone.
Aaron advises clients on a broad range of corporate matters, including domestic and cross-border M&A, private equity transactions, joint ventures, international business reorganisations, solvent restructurings and general corporate advisory work. He also has experience in acting for founders, shareholders, management teams, investors, portfolio businesses and multinational corporates across a range of sectors.
Prior to joining Haynes Boone, Aaron worked in-house at a European venture capital firm and also within two leading Tier 1 ranked (Legal 500) International Business Reorganisations practices within the Big 4.

- Advised the founder shareholders on the sale of a UK-based allergens and speciation testing business to a Boston Massachusetts-based venture capital and private equity-backed buyer.
- Advised the founder shareholders on the sale of a health and wellness e-commerce business to a strategic US acquirer.
- Advised on the sale of a SaaS business to a strategic buyer in a cross-border transaction.
- Advised a UK engineering business on its sale of its business to a NASDAQ listed corporate buyer.
- Advised on various disposals of e-commerce businesses, including Amazon FBA and direct-to-consumer businesses, by way of share and asset sales.
- Advised a search fund on the acquisition of a business as part of its broader roll-up strategy.
- Advised on investments, minority share disposals and joint venture transactions involving a privately-owned UK residential property development group.
- Advised the shareholders of a privately-owned UK residential property development group in relation to their disposal of a 10% minority interest to a private capital investor.
- Advised multinational groups on cross-border reorganisations, carve-outs, legal entity simplifications, capital reductions (by way of solvency statement) and related corporate governance matters.
- Advised on various FTSE-listed and private corporations on solvent intra-group corporate restructuring matters.
