Victoria Lee
Biography
Victoria Lee is an associate in the Capital Markets and Securities Practice Group in Haynes and Boone’s New York office. Victoria’s practice focuses on a broad range of capital markets transactions, including initial public offerings and follow-on offerings of equity securities, at-the-market offerings, registered direct offerings, private placements, and representation of placement agents and underwriters in initial public offerings and follow-on equity offerings.
Victoria additionally advises numerous US public companies and foreign private issuers across a variety of industries, including life sciences, health and wellness, technology, and campaign services, on various corporate governance matters, SEC reporting and compliance, stock exchange listing and compliance, and other issues arising under US securities laws.
Victoria earned her law degree from Fordham Law School where she was a student fellow of the Urban Law Center Fellowship.

- ENvue Medical, Inc., a medical device company, in its $10 million underwritten public offering of preferred stock and warrants.
- VBI Vaccines Inc., a biopharmaceutical company, in its $18 million underwritten public offering and $3 million concurrent registered direct offering of common shares.
- XWELL, Inc., a global wellness organization, in its $1.4 million registered direct offering of common stock.
- H.C. Wainwright & Co., LLC as placement agent, underwriter and sales agent in numerous registered direct offerings, private placements, public offerings, underwritten offerings and at-the-market equity programs, including $225 million underwritten offering with Esperion Therapeutics, Inc. and $21.5 million private placement with NextCure, Inc.
- Rodman & Renshaw LLC as placement agent, underwriter and sales agent in registered direct offerings, private placements, public offerings, underwritten offerings and at-the-market equity programs, including $17 million registered direct offering, $10 million underwritten offering and $20 million private placement with Scilex Holding Company.
- Dawson James Securities, Inc. as placement agent in numerous registered direct offerings and private placements, including $10.3 million registered direct offering with Aclarion Inc.
- Investors in select representations, including $36 million registered direct offering and $100 million registered direct offering of common stock and warrants.
