Biography

Patricia Mastropierro is a partner in the International Practice Group at Haynes Boone, where she brings more than 29 years of experience advising clients on complex international transactions, aviation, and regulatory matters. She has developed deep experience in guiding major U.S. and foreign airlines through the legal and operational challenges of expanding and maintaining global operations, as well as in multijurisdictional M&A projects and complex transactions in Latin America.

Patricia regularly counsels clients on cross-border commercial transactions and M&A in Latin America. In the aviation industry, Patricia provides regular advice on foreign regulatory compliance, airport access rights, slot allocations, permitting across diverse jurisdictions, and industry-specific issues regarding multijurisdictional compliance and transactions. Her practice includes strategic guidance on establishing and sustaining international operations, as well as navigating the legal and regulatory frameworks of more than 35 countries.

She has served as trusted counsel to one of the largest U.S. airlines and its regional affiliates, managing a wide array of international legal issues and cross-border initiatives. Her work spans transactional, commercial, regulatory, and dispute resolution matters, positioning her as a go-to advisor in international transactions and aviation space.

  • Represented a leading Chilean chemical company in forming a joint venture with a U.S. partner, advising on the structuring, negotiation, and implementation of the Argentine component.
  • Served as lead counsel to a major U.S. airline in its acquisition of an Argentine airline, including comprehensive multi-jurisdictional due diligence and transaction structuring, in a deal valued at over US$25 million.
  • Represented the same U.S. airline in the $300 million restructuring of its investment in Argentina, addressing complex regulatory and operational challenges.

  • Counsel to a global supplier of coatings, glass, and chemicals in the merger and consolidation of its Argentine subsidiaries.
  • Advised a major multinational information technology company on a series of cross-border software licensing transactions and commercial agreements.
  • Represented a large U.S.-based technology company in connection with Argentine bankruptcy and insolvency-related matters.
  • Advised a U.S. public company on the acquisition and servicing of distressed loan portfolios in different countries in Latin America, including regulatory compliance and risk mitigation strategies.
