Camie Carlock McKee
Biography
Camie Carlock McKee is a trusted energy transactions attorney in Haynes Boone’s Dallas office. Her practice focuses on the financing, acquisition, and sale of crude oil and natural gas, including reserve-based loans, equity transactions, and investments in non-operating and mineral and royalty interests.
Camie represents upstream oil and gas companies, banks, and private capital providers. With her industry knowledge and strategic approach, she helps clients navigate their financial and A&D transactions with confidence.
A Dallas native, Camie contributes to the energy community through the Dallas Petroleum Club, ADAM Energy Forum, Dallas Energy Finance Breakfast Series, and Kay Bailey Hutchison Energy Center at The University of Texas at Austin. She remains actively involved with her alma maters—The Episcopal School of Dallas, Washington and Lee University, and The University of Texas School of Law—and enjoys mentoring aspiring law students and attorneys.

- Advised ConocoPhillips in the sale of its Anadarko Basin assets for $1.3 billion.
- Represented the administrative agent and lead arranger in the negotiation of a senior secured revolving credit facility to fund, in part, acquisitions of oil and gas minerals interests located in the Denver-Julesburg (DJ) Basin and the Marcellus and Utica Shale.
- Represented Boaz Energy II, LLC in the sale and transfer of its Permian Basin oil and gas properties underlying the net profits interests held by PermRock Royalty Trust (NYSE: PRT), 4,884,861 trust units representing beneficial interests in PRT and other oil and gas properties.
- Represented the administrative agent and letter of credit issuer in the negotiation of a revolving credit facility to fund, in part, the acquisition of royalty and mineral interests located in the Eagle Ford Shale.
- Represented the buyer in its acquisition of a crude oil marketing services firm.
- Represented Callon Petroleum Company in the sale of all its Eagle Ford oil and gas assets to Ridgemar Energy Operating, LLC for $655 million in cash with an additional contingent consideration up to $45 million.
- Represented Callon Petroleum Company in its $475 million acquisition of the Midland Basin assets of Percussion Petroleum Operating II, LLC, with contingent consideration up to $62.5 million.
- Represented Earthstone Energy, Inc. in its acquisition of the New Mexico assets of Titus Oil & Gas Production, LLC and Titus Oil & Gas Production II, LLC and their affiliates (Titus) in a cash-and-stock transaction worth approximately $627 million.
- Represented Earthstone Energy, Inc. in its acquisition of the assets of Midland Basin operator Bighorn Permian Resources, LLC in a cash-and-stock transaction worth approximately $860 million.
- Represented the administrative agent and letter of credit issuer in the negotiation of a $500 million amended and restated senior secured revolving credit facility to fund, in part, the acquisition and development of oil and gas properties located in the Permian Basin.
- Represented Earthstone Energy, Inc. in its acquisition of Permian Basin operator Chisholm Energy Holdings LLC in a cash-and-stock transaction worth over $600 million.
- Represented the administrative agent and issuing bank in the negotiation of a $250 million credit facility used to fund, in part, the acquisition and development of oil and gas properties located in the Williston Basin.
- Represented a public oil and gas company in the $100,000,000 sale of its Eagle Ford Shale assets to an independent E&P company.
- Represented the agent and issuing lender in the negotiation of a $170 million first-lien credit facility used to fund, in part, oil and gas drilling and development activities in West Virginia.
- Represented the lender in the negotiation of a $215 million first-lien 7 year term loan backed by long-term hedges and secured with the company’s Mobile Bay assets transferred into separate special purpose subsidiary borrowers.
- Represented the lead arranger in the negotiation of a $150 million senior secured revolving credit facility, the proceeds of which will be utilized to operate and maintain midstream water services in New Mexico and Texas.
- Represented multi-national exploration and production company in its acquisition of private Eagle Ford producer owning in excess of 600 producing wells.
