Tenzin Woden
Biography
Tenzin is an associate in the Investment Management Practice Group in Haynes Boone’s London office.
Tenzin advises emerging and established fund managers on structuring, launch and operation of venture capital funds across multiple jurisdictions, guiding them from formation and investor negotiations through final closing and ongoing portfolio support. He regularly supports early-stage companies through equity and debt financing rounds as they scale and he works closely with fund managers, management teams and investors to deliver commercially minded legal advice.

Fund Formation / LP side workstreams
- Advised 4BIO Capital on the formation of its third VC fund in the UK achieving a final closing commitment in excess of US$150 million and providing ongoing support to the management team.
- Advised on the formation of a Luxembourg-domiciled fund, with final closing commitment of over €50 million, targeting SME growth companies based in the EU with a focus on technology-led sectors.
- Advised on the launch of a multi-jurisdictional healthtech-focused VC fund with investments spanning the UK, Ireland and Germany, including structuring of warehoused pre-closing assets.
- Advised a multi-office family office client on its investment into a US$750 million Delaware limited partnership with a focus on middle market high-growth companies.
Corporate / Secondaries / Downstream Funding Rounds
- Advised a UK startup on its Series A extended fundraising round (equity and convertible loans) involving restructuring of the management group and provided general advisory support on day-to-day issues to startups.
- Advised an established VC manager on acquisition of an English portfolio company.
- Advised a family office on a secondary acquisition of a UK-based fashion / technology company by acquiring shares through an intermediary company.
- Advised an English and European VC firm on its co-lead Series A investment into a deep tech startup.
- Advised on a £2 million cross-border secured loan note instrument from an offshore entity into a UK operating company, coordinating with the finance team on the underlying security documents as well as advising a longstanding fund client on its US$25 million capital call facility.
