Haynes and Boone Capital Markets and Securities Practice Among Nation's Leading Firms for Non-U.S. Company Equities in 2015

June 03, 2016

The 2016 American Lawyer Corporate Scorecard has singled out Haynes and Boone, LLP as one of the top two  law firms handling equities work for non-U.S. companies in 2015.

The annual scorecard ranks firms that handled the highest value of deals or issues for various kinds of corporate finance and capital markets work. Final figures show that for 2015, the firm served as issuer representative for non-U.S. companies in four substantial matters totaling more than $50 million.

In announcing the results, American Lawyer's Texas subsidiary quoted New York Partner Rick Werner, co-chair of the firm's Capital Markets and Securities Practice Group and head of the Israel Practice Group, on the origins of the firm's activities with a hedge fund's referral of InspireMD to the firm:

"Werner said InspireMD hired the firm to represent it in a reverse merger into a U.S. public shell company, along with a $15 million equity financing. He said the deal closed in the spring of 2011, and the company, which is a Delaware corporation that has most employees and operations in Israel, is still a client of the firm.

"Since then, Haynes and Boone has received a number of referrals for other Israeli emerging growth companies, and has done a number of secondary offerings for existing public companies in Israel and an IPO for Kitov Pharmaceuticals.

"'It's grown significantly over the last two years,' Werner said about the firm's Israel practice. The firm's clients in Israel also include RedHill Biopharma, he said. Werner said Haynes and Boone also does work for a number of Canadian companies."
