Roger Royse, Gabor Szecsi Contribute to Continuing Education of Bar Treatise: Advising California Partnerships

Haynes and Boone, LLP Partner Roger Royse and Attorney Gabor Szecsi helped update chapters in a Continuing Education of the Bar (CEB) book titled “Advising California Partnerships,” designed to help lawyers navigate California’s complex business environment.

The California partnerships guide has been updated to reflect the federal Tax Cuts and Jobs Act, addressing topics such as the Tax Cuts and Jobs Act’s effect on forming and operating partnerships, along with primers on planning general partnerships, limited partnerships and limited liability partnerships, drafting partnership agreements, and issuing partnership interests. Gabor co-authored an update to Chapter 11, “Issuing Partnership Interests,” and with Roger, an update to Chapter 12, “Operating a Partnership.”

Gabor is an attorney in the Capital Markets and Securities Practice Group the firm’s Palo Alto office. His practice focuses on general corporate law, commercial contracts and emerging growth companies, and mergers and acquisitions. He also advises investors and funds on fund formation and federal and state securities law compliance.

Roger is a partner in the firm’s Palo Alto office whose practice focuses on corporate and securities law, domestic and international tax, mergers and acquisitions, and fund formation. He works with companies ranging from newly formed tech startups to publicly traded multinationals in a variety of industries.
