Haynes Boone advised Karman Space & Defense on government contracts and national security aspects of its acquisition of Seemann Composites and Material Sciences LLC, a significant expansion into the strategic maritime defense sector. The firm worked in coordination with Willkie Farr & Gallagher LLP, which led primary diligence on the transaction.
The team was led by Partners Zach Prince and Dan Ramish, co-heads of the firm’s Government Contracts Transactions Practice, who advised on transaction-specific government contracts and national security considerations. They were supported by Associate Michael Maroulis.
Karman’s acquisition of Seemann and MSC—providers of advanced composite systems and proprietary solutions for naval defense programs—marks a continued focus on building vertical integration and expanding access to high-priority U.S. Navy initiatives.
