The transaction included approximately 11.2 million shares of common stock and pre-funded warrants to purchase approximately 5.2 million shares, together with accompanying warrants. The structure also included warrants issued to Rodman & Renshaw as part of its placement agent compensation, with distinct issuance, exercise and registration terms across the securities involved in the offering.
