A Haynes and Boone, LLP deal team represented Kitov Pharma Ltd. (NASDAQ/TASE: KTOV) in a registered direct offering of American Depositary Shares (ADSs) and warrants to purchase ADSs that raised gross proceeds of $35 million.
A clinical-stage company advancing first-in-class therapies to overcome tumor immune evasion and drug resistance, Kitov intends to use the net proceeds of this offering to fund the development of its oncology drug candidates, acquisition of new assets, and for general working capital purposes.
New York Partner Rick Werner, co-chair of Haynes and Boone’s Capital Markets and Securities Practice Group, and Jayun Koo, a Partner in the New York Capital Markets and Securities Practice Group, led the team representing Kitov. They were assisted by Haynes and Boone lawyers: So Yung Kang and Eloise Rotenberg.
The transaction is the fourth offering that Haynes and Boone has recently handled for Kitov:
- A $10 million registered direct offering (closed in May)
- A $6.5 million exercise of warrants (closed in April)
- A $6.0 million public offering (closed in March)
