Kraig Grahmann
Biography
Kraig Grahmann represents banks, private capital providers and upstream energy companies in financing transactions, equity investments and other energy transactions, with a focus on upstream oil and gas matters. He also advises oil and gas companies on acquisitions, divestitures and joint development transactions, and has experience with International Swaps and Derivatives Association agreements, exploration and production bankruptcies, workouts and debt restructurings.
Kraig’s practice combines transaction execution with current market perspective. He regularly handles secured reserve-based oil and gas production and development financings, including related credit facilities, intercreditor agreements, mortgages and other loan documents, and he advises on transactions ranging from company-side capital raises to asset-level acquisition and divestiture matters across producing regions in the United States and the Gulf of Mexico.
He has been recognized in The Best Lawyers in America, Woodward/White, 2023-2024 (Thomson Reuters) for Oil and Gas Law and is a frequent writer and speaker on legal and market developments affecting the oil and gas industry, including borrowing base trends and shifts in available upstream capital sources.

What types of clients and matters do you handle?
I represent banks, private capital providers and upstream energy companies in financing transactions, equity investments and other upstream oil and gas transactions. I also advise oil and gas companies on acquisitions, divestitures and joint development arrangements.
Do you handle reserve-based lending and related finance documents?
Yes. I work on secured reserve-based oil and gas production loans and development loans, including the preparation and negotiation of credit facilities, intercreditor agreements, mortgages and related loan documents. My experience also includes syndicated, club and sole bank facilities across a broad range of transaction sizes.
Can you help with distressed or restructuring matters in the energy sector?
Yes. I have been involved in exploration and production bankruptcies, workouts and debt restructurings, as well as bankruptcy-related oil and gas transactions. That experience helps me advise clients when financing, operations or deal execution become more complex.
How do you stay current on oil and gas finance and deal trends?
I regularly write and speak on legal and market developments in the oil and gas industry, including borrowing base developments and capital availability. My work has also been featured in Haynes Boone publications and industry coverage discussing reserve-based lending conditions and changing upstream capital sources.
