Jonathan Keller
Biography
Jon Keller represents government contractors and other companies operating in regulated and national security-sensitive markets in disputes, investigations, and compliance matters across the full procurement lifecycle. A senior associate based in Northern Virginia, his practice centers on federal cost and pricing issues, including cost allowability, Cost Accounting Standards compliance, and Truthful Cost or Pricing Data exposure. He regularly advises and defends contractors in audits, cost challenges, and disputes before the boards of contract appeals and the U.S. Court of Federal Claims.
Jon prosecutes and defends contract claims and requests for equitable adjustment under the Contract Disputes Act, prepares and litigates certified claims, and handles prime–subcontractor disputes and payment controversies in federal and state courts and through alternative dispute resolution. He also represents contractors in bid protests before the Government Accountability Office and the U.S. Court of Federal Claims, aligning litigation strategy with business outcomes while preserving future contracting opportunities.
A growing part of Jon’s practice involves U.S. economic sanctions and foreign investment review. Working alongside the firm’s international trade lawyers, he advises clients on compliance with the sanctions programs administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC). He reviews acquisitions and investments for sanctions and export controls exposure and negotiates the representations, covenants, and closing conditions used to allocate that risk. Jon also assists foreign and domestic parties with national security reviews before the Committee on Foreign Investment in the United States (CFIUS). Jon draws on his government contracts background to address the procurement, facility clearance, and foreign ownership issues that often travel with a CFIUS review.
Jon maintains an active regulatory enforcement practice, including a growing focus on OSHA matters, counseling employers and defending companies through agency inspections, citation challenges, and compliance initiatives across industries. His enforcement experience extends to conducting internal investigations and advising on the False Claims Act (FCA), the Foreign Corrupt Practices Act (FCPA), and other criminal and civil fraud statutes, positioning clients for favorable outcomes through proactive remediation and strategic engagement with enforcement authorities.
