Biography

Danielle Marr is a partner in the Tax Practice Group in Haynes Boone's Dallas office. She focuses her practice on the federal income tax aspects of business transactions, including taxable and tax-free mergers and acquisitions, partnership formations, joint ventures, corporate reorganizations, public and private offerings, real estate acquisitions and dispositions, and general tax-efficient entity structuring. Her clients — including private equity sponsors and their portfolio companies, founder sellers, private and publicly held corporations, financial institutions, master limited partnerships, REITs, and individuals — span a variety of industries.


Danielle has extensive experience negotiating complex tax provisions in transaction documents, including purchase agreements, LLC and partnership operating agreements, loan documents, offerings, and escrow arrangements. She also counsels clients on entity choice, organizational structure, governance and operational tax matters in connection with formation or in preparation for a significant business transaction. Danielle has particular experience with nuanced tax issues relating to oil and gas transactions, cross-border activities and investments, MLP structuring and qualifying income analysis, and real estate like-kind exchanges.
