Biography

Brett Moore is a counsel in the Corporate Practice Group in Haynes Boone’s Dallas office.

His practice focuses on mergers and acquisitions, private equity investments, and capital markets and securities.

Prior to rejoining the firm, Brett was the Deputy General Counsel at Beneficient, a public company and provider of liquidity, data analytics, and custody services to holders of alternative assets. He played a key role in the company’s de-SPAC transaction and public listing, as well as various securities offerings, M&A transactions and commercial agreements.

As a result of his time both in-house and at the firm, Brett brings a broad range of experience to his practice, including:

  • Financial services and alternatives ecosystem: Experience with liquidity, custody, and trust services for holders of alternative assets.
  • Private equity and M&A execution: Buy- and sell-side transactions, minority investments, and participations in venture capital offerings.
  • Public company and SPAC/de-SPAC experience: Experience related to go-public pathways, SEC disclosure, and post-listing governance and compliance.

  • Represented IVI America, LLC, a subsidiary of IVI RMA Global, S.L.U., a leading provider of reproductive medicine in its acquisition of Island Reproductive Services, P.C., a New York-based fertility clinic.
  • Represented Landry’s, LLC in a carve-out acquisition of two restaurant brands—Del Frisco’s Double Eagle Steakhouses and Del Frisco’s Grilles—from private equity firm L Catterton.
  • Represented SunTx Capital Partners, a Dallas-based private equity firm, in the sale of Carolina Beverage Group to Cold Spring Brewing Company, a portfolio company of Brynwood Partners.
  • Represented a private investment fund in an investment in and roll-up of industry-leading steel processing and warehousing services companies.
  • Represented Juniper Capital Management in a simultaneous investment and roll-up of two industry-leading sewer rehabilitation companies.
  • Represented a movie exhibitor through an organizational restructuring and a subsequent minority sale of its equity interests.
