Biography

Diego Sánchez is a partner in the International Practice Group at Haynes Boone’s Mexico City office. He concentrates his practice on complex domestic and cross-border transactions, with a particular focus on mergers and acquisitions, private equity, capital markets, and banking and structured finance.

Diego advises a broad range of clients—including multinational corporations, private equity firms, financial institutions, and investment funds—on the structuring, negotiation, and execution of strategic transactions across Latin America and beyond. His transactional experience spans diverse industries and often involves navigating intricate regulatory frameworks and multi-jurisdictional considerations.

  • Advised Finest Resorts on the acquisition of strategic beachfront land in Puerto Morelos, Mexico, from Transat A.T. Inc., facilitating a key expansion in the luxury hospitality sector.
  • Represented Stark Corporation in its acquisition of Leoni AG, a global provider of energy and data solutions for the automotive industry.
  • Counseled H.I.G. Capital in its investment in 3Pillar Global, a software development and digital transformation company serving clients worldwide.
  • Advised Grupo Vimar in the formation of a joint venture with Promecap in Aircrete México, S.A.P.I. de C.V., a market leader in the production of Autoclaved Aerated Concrete (AAC) in Mexico.
  • Represented Grupo Pantaleon, one of the largest agribusiness groups in Latin America, in the acquisition of Ingenio Pánuco, S.A. de C.V. and Ingenio El Mante, S.A. de C.V., expanding its sugar production footprint in Mexico.
  • Advised Blue Torch Finance LLC in the acquisition of Bank of America’s credit rights with Celadon Group Inc., and subsequently represented Blue Torch in the sale of Celadon’s Mexican operations to Jaguar Transportation Inc. (an affiliate of General Management Co.).
  • Represented ALS Global in its acquisition of Laboratorios de Control ARJ, S.A. de C.V., the largest independent pharmaceutical testing laboratory in Latin America.
  • Advised Credit Suisse and Punto Casa de Bolsa as lead underwriters in the MXN 9.43 billion IPO of Fibra Educa, a real estate investment trust focused on educational facilities in Mexico.
  • Represented MGG Capital Partners, as lender, in a cross-border credit facility to Dolphin Discovery, S.A. de C.V., including the creation of a security trust with live animals as collateral—a pioneering structure in the region.
  • Advised APP Coatzacoalcos Villahermosa, S.A.P.I. de C.V. (a subsidiary of Mota-Engil) on the MXN 1.95 billion securitization of collection rights under a 10-year public-private partnership for the rehabilitation and maintenance of the Coatzacoalcos–Villahermosa highway, awarded by Mexico’s Ministry of Communications and Transport.
  • Represented Carza in the structuring and successful placement of its first CKD fund (Development Capital Certificate) focused on residential real estate, for an aggregate amount of MXN 2.47 billion.
  • Advised Axis Asset Management in a shareholder dispute involving Integradora de Servicios Petroleros Oro Negro, a diversified Mexican oilfield services company with over USD 2 billion in assets, resulting in a non-hostile buyout by Axis and a group of private investors.
  • Represented Punto Casa de Bolsa as lead underwriter in the MXN 1.57 billion IPO of Némesis Capital, structured as a Mexican REIT (Fibra Plus).
  • Advised Acciones y Valores Banamex as lead underwriter in the placement of Prudential’s second CKD fund, raising MXN 4.42 billion to support long-term institutional investments in Mexico.
