Haynes Boone invites you to attend an in-person lunch panel discussion of the Inflation Reduction Act (IRA) and its impact on the energy sector focusing particularly on investing and M&A strategies for existing energy companies. Since the IRA became law in Aug. 2022, federal agencies such as the IRS have been participants in a “whole of government” approach to issuing regulations to implement the IRA. Such policies under the IRA are now dual-focused, supporting both (i) the development of new technologies that reduce GHG emissions and (ii) the provision of plentiful, affordable, and reliable energy sources.
Our panel will discuss the key features of the IRA, how it is being implemented by Federal and State agencies, and how existing energy businesses that embrace those features will drive investing and M&A strategies in the next decade, specifically including:
- A survey of the new tax credits offered by the IRA as well as the changes made to existing tax credits, such as the ITC and PTC;
- A summary of the monetary penalties under the IRA for oil and gas companies that elect not to reduce their methane emissions;
- How the IRA supports fossil fuel producers, transporters, and users that apply low-or-no-GHG emissions technologies all along the supply chain, who may continue producing fossil fuels for decades to come, provided those companies reject “business as usual” and instead apply emissions reduction plans that will be discussed; and
- The impact of the IRA on renewable project M&A activity and key considerations in structuring project purchase agreements in the new post-IRA landscape.
