A team of capital markets lawyers from the Haynes Boone London office advised broker clients on three separate equity fundraisings in one week. The firm acted for Panmure Liberum Limited and Tamesis Partners LLP on a £5.7 million fundraising for Zanaga Iron Ore Company and advised Zeus Capital through two transactions raising more than £9 million.
Zanaga, an AIM-traded iron ore exploration and development company, raised aggregate gross proceeds of £5.7 million through a placing, subscription and retail offer. Zanaga’s flagship asset is the Zanaga Iron Ore Project, which is located in the Republic of Congo, which is expected to produce 30Mtpa of high-grade iron ore over the next 30 years. The placing was completed through an accelerated bookbuild process led by Haynes Boone’s clients, Panmure Liberum and Tamesis, acting as joint bookrunners.
The Haynes Boone deal team advising Panmure Liberum and Tamesis was led by Partners Nick Davis and Robert Bines-Black, with support from Trainee Solicitors Ziv Gould and Tomos Lloyd-Owen.
Haynes Boone also advised Zeus Capital in connection with Kelso Group Holdings PLC’s placing and subscription, which conditionally raised gross proceeds of £650,000 through the issue of placing shares and subscription shares at 3.0 pence per share. Zeus Capital acted as financial adviser and joint broker to Kelso, with the proceeds intended to support the expansion of Kelso’s investment portfolio. Bines-Black led the transaction for Haynes Boone.
The transaction follows another deal for Zeus Capital from earlier in the week, where Partner Nick Heap led a Haynes Boone team advising on a £8.5 million fundraising for Star Energy Group PLC.
