Haynes Boone represented Oramed Pharmaceuticals Inc., a clinical-stage pharmaceutical company pioneering oral drug delivery solutions, in its strategic transaction with Lifeward Ltd., a revenue-generating medical robotics company. This deal integrates pharmaceutical technology with advanced rehabilitation systems, positioning Oramed as a significant shareholder and creating a diversified platform for growth in life sciences and healthcare technology.
The transaction involves the transfer of Oramed’s proprietary oral drug delivery POD™ technology to Lifeward, granting Oramed a 49.9 percent beneficial ownership interest in Lifeward, alongside warrants upon the satisfaction of certain terms and conditions. Oramed also agreed to invest in Lifeward through a $9 million senior secured convertible note and an additional milestone-based $9 million senior secured convertible note, each with 100 percent warrant coverage.
