Haynes Boone represented Schirm USA, owned by South African chemicals and explosives company AECI Limited, in its sale to Liberation Chem-Toll, a chemical toll manufacturing company.
The transaction involved all assets and certain specified liabilities of Schirm being transferred to Liberation Chem-Toll.
The Haynes Boone deal team was led by Mergers and Acquisitions Co-Chair Zach Burnett with assistance from Associates Taylor Calvert and Dustin Leenhouts.
Formed in 1976, Schirm USA has grown to be the largest and most diversified “non-compete” chemical toll manufacturer in the United States. Schirm USA provides comprehensive formulation and manufacturing services tailored to the agricultural, industrial and specialty chemical markets.
“We were honored to represent Schirm USA in this significant transaction,” said Burnett. “The sale will allow Schirm to continue building on its strong legacy in the chemical toll manufacturing industry.”
This is the second deal in the month of August for Burnett and his team, following Certrec’s sale to Mirion Technologies in the beginning of August.
