Biography

Taylor Calvert is an associate in the Corporate Practice Group in the Dallas office of Haynes Boone.

Taylor has experience representing public and private companies, private equity firms, and family offices in structuring and negotiating strategic transactions. She provides counsel on entity formation, corporate governance, and assisting clients with complex commercial agreements.

  • Represented Construction Partners, Inc. in its $950 million acquisition of Asphalt Inc., LLC, d/b/a Lone Star Paving, a prominent Austin, Texas-based asphalt manufacturing and paving company.
  • Represented Sabre Corporation, a leading travel software and technology company, in the sale of its corporate online booking platform, GetThere, to Serko Limited.
  • Represented Fortune 500 transportation company in drafting, negotiating and managing international and domestic vendor agreements.
  • Represented Ventavia Research Group, one of the largest privately-own clinical research companies in a sale of its business assets to SCR of Texas, LLC an affiliate of Grant Avenue Capital.
  • Represented Blucora, Inc. in the $720 million sale of its tax software business, TaxAct, to an affiliate of Cinven Ltd., a UK-based private equity fund.
  • Represented Wilson Electronics, LLC, a leader in cellular signal repeater technology, in the cross-border acquisition of Zinwave Communications.
  • Represented a leader in the global travel industry and provider of related software and technology in the acquisition of a leader in the hospitality and ecommerce industry.
  • Represented a Dallas based private equity firm in its acquisition of substantially all of the assets of a leading provider of light vehicle alloy wheel repair, remanufacturing, and wholesale services.
  • Represented The Insurance Exchange, a private owned Texas based insurance brokerage, in a sale of its business to an affiliate of Warner Pacific Insurance Services, Inc.
  • Represented USA Environmental Holdings, Inc., a leader in specialized environmental remediation and industrial services provider, in a sale of its business to Entact, LLC.
  • Represented Mizzen and Main LLC in connection with the negotiation of its endorsement deal with a prominent professional athlete.
