Jeremy Cross
Biography
Jeremy Cross is a partner in the Fund Finance Practice Group at Haynes Boone’s London office. He advises lenders, sponsors and borrowers on all aspects of fund finance, including subscription (capital call) facilities, NAV and asset backed facilities GP and Manager facilities and hybrid facilities. Jeremy also has extensive experience in real estate finance, having advised lenders and borrowers on many high profile real estate acquisition and development facilities.
Before joining Haynes Boone, Jeremy held senior finance leadership roles in private practice and spent time in-house with a global bank, which amplifies his focus on practical structuring and execution for both lender and borrower stakeholders.

What types of fund finance facilities do you regularly advise on?
I advise on subscription (capital call) facilities and on other fund liquidity solutions, including NAV and preferred equity financings, as well as on hybrid facilities including elements of both subscription and NAV / preferred equity financings. I also work on GP and manager financing where sponsors need tailored support alongside the fund’s broader capital structure.
Do you act for lenders or borrowers?
I act for both sides of the market—lenders and arranger groups, as well as sponsors, funds and other borrowers. That dual perspective helps me anticipate and find solutions to key diligence, documentation and operational issues that tend to drive timeline and execution risk.
How do you support real estate finance matters alongside fund finance?
My practice includes real estate acquisition and development financings, often alongside broader lender, sponsor or fund relationships. I focus on the credit and collateral package, conditions precedent and intercreditor or structural points (including tax points) that can affect closing certainty.
What is your experience with larger or syndicated facilities?
I work on facilities ranging from bilateral loans to club and syndicated financings, including multi-lender structures. The deal sizes I see can range from the low f millions of pounds to facilities exceeding £1 billion, so I’m used to managing all ranges of both scale and complexity.
What informs your approach to structuring and negotiating these financings?
I’ve spent time in-house with a global bank and have also led finance teams in private practice on many hundreds of transactions, so I aim always to seek and find solutions to issues in a way which works for my client and all round rather than “grandstand” or get stuck on legal issues which have no practical implications. This means that I aim to keep legal documentation grounded in how the deal will operate after signing, so in a fund finance transaction for example focusing on investor and fund terms, reporting and notice mechanics, collateral enforcement pathways and the points most likely to matter in a downside scenario.
