Biography
Nicholas Foss-Pedersen is a corporate partner in Haynes Boone’s London office who advises companies, shareholders and investors on business transactions. He focuses on private mergers and acquisitions, helping buyers, sellers and stakeholders navigate acquisitions, disposals and other private M&A processes.
Nicholas also advises on AIM market IPOs, admissions and fundraisings, including private placements for both issuers and brokers, and on private equity- and venture capital-backed transactions. In addition, he supports clients with ongoing general corporate matters as part of their day-to-day governance and transactional needs.

What types of transactions do you handle most often?
I focus on private mergers and acquisitions and related business transactions for companies, shareholders and investors. That includes supporting buyers and sellers through acquisitions and disposals and helping stakeholders manage the corporate steps that come with a private M&A process.
Do you advise on AIM IPOs and fundraisings?
Yes. I advise on AIM market IPOs and admissions to trading, and I also work on fundraisings, including private placements. My work in this area includes acting for both issuers and brokers.
How do you support private equity and venture capital-backed deals?
I advise on private equity- and venture capital-backed transactions. That can include helping companies, owners and management teams as they navigate investments and deal execution within a PE or VC-backed structure.
Can you help with general corporate matters after a transaction closes?
Yes. In addition to transactional work, I advise on general corporate matters and ongoing company representation. Clients often involve me in day-to-day governance and corporate support alongside their broader transactional activity.
