Haynes Boone represented Electronic Power Design LLC (EPD), a Houston-based provider of mission-critical power distribution equipment and solutions, in its sale to Voltaris Power LLC, a portfolio company of Mill Point Capital LLC.
Founded in 1986, EPD designs and manufactures custom low-voltage switchboards, power distribution units and related electrical distribution equipment for data center, marine and offshore, commercial and industrial markets. The company brings four decades of electrical engineering experience and high-volume manufacturing capabilities to Voltaris’ power infrastructure platform.
“EPD has built an impressive business over four decades at the intersection of sophisticated electrical engineering and mission-critical infrastructure,” said Haynes Boone Mergers and Acquisitions Partner Ricardo Garcia-Moreno, who led the firm’s deal team. “It was a privilege to advise EPD and its owners on this important transaction and help them reach this next stage in the company’s growth.”
Houston Office Managing Partner Garcia-Moreno was supported by M&A Associates Hayley Hervieux, Lisa Vasek and Michael Holmes as well as a full-service multidisciplinary team of more than 20 lawyers across the firm.
“Ricardo and the Haynes Boone team have been exceptional partners for years. Long before we ever ran a formal process, they helped me get EPD ready for a sale that I knew might one day be possible,” said John Janik, owner and CEO of EPD. “Their deep bench amazes me. In a world this complex, it is reassuring to know that whatever issue surfaces, they already have the right lawyer on staff. Over the years, I have relied on them for everything from employment and tax to cybersecurity, insurance, sell-side M&A and more. These lawyers will stand with you until 3 a.m. if that is what it takes, and they are back at 8 a.m. ready to go. I am constantly impressed by their guidance, professionalism and judgment. Most important of all: What this team does works.”
Haynes Boone’s M&A Practice Group has comprehensive deal experience, having helped clients close more than 500 transactions in the last five years, with an aggregate value exceeding $50 billion.
