Sudan I. Maccio
Biography
Sudan I. Maccio is a partner in the Energy, Power and Natural Resources Practice Group in Haynes Boone's Houston office. A Venezuelan native dual‑licensed in Texas and Venezuela, Sudan represents multinational and national oil companies, public and private exploration and production companies, refiners, petrochemical operators, and oilfield services providers.
He advises clients on complex transactional, regulatory, and operational matters across the upstream, midstream, downstream, and petrochemical sectors. Sudan’s experience includes mergers and acquisitions, joint ventures, cross‑border investments, commercial contracting, regulatory and compliance risk, and high-exposure disputes.
He began his career as an in-house attorney at Petróleos de Venezuela S.A. (PDVSA) in Caracas, Venezuela, where he developed deep familiarity with the business landscape across the region. With a current focus on Latin America and the United States, Sudan is a trusted advisor on cross‑border strategy, governance, and regulatory risk, particularly in complex operating environments.
He routinely counsels boards and senior management teams on compliance programs, internal investigations, and corporate governance, and is recognized for effective negotiation and clear judgment in high-stakes matters.

- Joint venture expansion for Ecopetrol Permian LLC with Occidental Petroleum Corporation for the development of unconventional reservoirs in the Permian Basin, Texas.
- Joint venture negotiation between TotalEnergies Petrochemicals & Refining USA Inc., and Novealis Holdings LLC (Borealis AG and NOVA Chemicals) for the formation of Bayport Polymers LLC (Baystar™) to create an integrated polyethylene platform on the U.S. Gulf Coast.
- Negotiation of a set of commercial agreements between TotalEnergies Petrochemicals & Refining USA Inc., and Air Liquide for a crude hydrogen sale and processing transaction, (processing, supply, operations, maintenance, connections, and construction), at Port Arthur, Texas.
- Product exchange and related pipeline connection agreements between a Total/BASF joint venture and TPC Group (C4 / butadiene value chain).
- Multi-party crude export pipeline project and marketing affiliate contract reorganization supporting deepwater Gulf of Mexico operations (Eni).
- Venezuela operating company governance (Harvest Natural Resources), drilling and construction, procurement contracting, and arbitration/expropriation contingency planning.
