Haynes Boone Represents Allegiance Title in Combination with FirsTitle

A Haynes and Boone, LLP team led by Associate Brent Beckert, Partner Lauren White and Counsel Raquel Alvarenga represented Dallas-based Allegiance Title in its combination with Tulsa-based FirsTitle.

The transaction creates a new holding company, AllFirst, that will have roughly 500 employees and a total of 49 offices serving Texas, Oklahoma and New Mexico. The AllFirst holding company also includes several other operating subsidiaries, including Guaranty Title, Smith Brothers Abstract, Excel Title and Aggieland Title.

Beckert served as M&A counsel to Allegiance; White provided corporate and tax guidance, and Alvarenga handled labor and employment issues that arose in the combination. They were assisted by a Haynes and Boone team of: Associates AK Bonnet and Rachael Williams (M&A); Partner Ken Bezozo (Tax); Counsel Scott Thompson (Employee Benefits), and Partner David Taubenfeld (Insurance).
