D CEO Selects Two Haynes and Boone Transactions as 'Deals of the Year'

Haynes and Boone, LLP worked on two separate M&A transactions involving beverage companies that received “Deal of the Year” awards from D CEO and the Association for Corporate Growth.

The two awards went to:

  • Constellation Brands Acquires Four Corners Brewing Co. - $25 million to $149 million category
  • Cold Spring Brewing Co. Acquires Carolina Beverage Group - $150 million to $999 million category

The transactions are described below:

Constellation Brands Acquires Four Corners Brewing Co.

Partner Tom Harris and Associates Brandon McCoy and Bryan Diebels represented Four Corners Brewing Company LLC, a Dallas-based brewery founded in 2012, in its sale and merger into a subsidiary of Constellation Brands, Inc., a public company.

"Haynes and Boone was a highly valued partner in our transaction and offered valuable advice and assistance. They were very responsive throughout the life of the deal,” said Four Corners Co-Founder Greg Leftwich.

Cold Spring Brewing Co. Acquires Carolina Beverage Group

A Haynes and Boone team led by Tom Harris and Brandon McCoy represented Carolina Beverage Group, a contract beverage manufacturer and portfolio company of SunTx Capital Partners, a Dallas-based private equity firm, in its sale to Cold Spring Brewing Company, a portfolio company of Brynwood Partners. The Haynes and Boone team for this transaction also included Sam Lichtman, Paul Amiel, Monika Sanford, Chris Kang, Don Shiman, Scott Thompson, Annie Chen, and Brett Moore.

SunTx, which invests in middle-market manufacturing, distribution and service companies, acquired a majority interest in Carolina Beverage Group and worked closely with the management team to execute a series of growth and operational initiatives, including a multimillion-dollar investment to create a manufacturing and distribution facility in Fort Worth.
