Haynes and Boone Represents Applied Optoelectronics in Convertible Senior Notes Offering

Haynes and Boone, LLP represented Applied Optoelectronics, Inc. (AOI) as issuer’s counsel in its offering of $80.5 million of 5.00% Convertible Senior Notes due 2024.

The offering closed on March 5, 2019, and generated net proceeds to AOI of approximately $76.4 million, after deducting the initial purchasers’ discounts and estimated offering expenses payable by AOI.

Haynes and Boone Partners Frank Wu and Jennifer Wisinski led the Haynes and Boone team representing AOI in the transaction. They were assisted by Partners Sameer Saxena, Paul Amiel, Monika Sanford and Associates Simin Sun, Laura Shapiro and Camie Carlock.

AOI intends to use approximately $37.8 million of the net proceeds from the offering to fully repay its capital expenditure loan and real estate term loan with Branch Banking and Trust Company and to use the remainder for general corporate purposes.

Frank Wu has represented start-up companies in successful IPOs and has worked with many business leaders on strategic alliances, mergers and acquisitions. He also co-chairs Haynes and Boone’s Greater China Practice Group, representing both U.S. and Chinese companies on domestic and cross-border transactions.

Jennifer Wisinski is the chair of the Business Transactions Department and has more than 20 years of experience in a broad range of transactions, from capital markets transactions to private and public company mergers and acquisitions.
