Haynes Boone Guides SunTx Portfolio Company Through $972 Million Proposed Business Combination and Path to NYSE Listing

October 10, 2025

Haynes Boone advised SunTx Capital Partners, a leading Texas-based private equity firm that invests in construction materials, manufacturing, distribution and service companies, through a proposed business combination involving SunTx’s portfolio company Concrete Partners Holding, LLC (Suncrete) and Haymaker Acquisition Corp. 4 (NYSE: HYAC), a publicly traded special purpose acquisition company, to pursue a listing on the New York Stock Exchange.

It is anticipated that the new company will have a total enterprise value of approximately $972.6 million. The business combination is expected to close by Q1 2026 and the combined company will be named Suncrete, Inc.

The Haynes Boone team was led by M&A Partner Kellie Bobo, Capital Markets Partners Matt Fry and Greg Samuel, and Finance Partner Paul Amiel. The team was assisted by Partner Lauren White, Counsel Danielle Marr and Associates Josh Reisman, Rachel O’Donnell, Hannah Shoss, Ryan Ward, Logan Weissler and Laura Shapiro.

“We’re proud to have supported SunTx Capital Partners and Suncrete in taking this exciting next step,” said Bobo. “This transaction highlights the strength of Suncrete’s platform and the continued investment momentum across the Sunbelt construction sector.”

Suncrete is a ready-mix concrete logistics and distribution platform operating in a mission critical segment of the construction value chain with an established base of high-quality concrete plants and tech-enabled mixer trucks that are strategically located in Oklahoma and Arkansas with plans to expand throughout the high-growth Sunbelt region of the United States, benefitting from attractive population, housing and infrastructure growth tailwinds.

“This strategic transaction positions Suncrete as a leading publicly traded ready-mix concrete platform across Oklahoma and Arkansas with plans to expand throughout the rapidly growing U.S. Sunbelt region,” said Ned N. Fleming III, Founding Partner of SunTx, in a statement.
