Haynes Boone represented Capitol Peak Partners, LLC, a Denver-based private investment firm, in the sale of Rite in the Rain, a portfolio company of Capitol Peak to Pennington Creek Capital, a Dallas-based private equity firm wholly owned by the Chickasaw Nation.
Mergers and Acquisitions Co-Chair Dan Malone led the Haynes Boone deal team with support from Associates Joshua Reisman and Ryan Ward.
Capitol Peak, which focuses on opportunistic investments in middle-market consumer businesses, acquired Rite in the Rain in 2018 as part of its strategy of partnering with established companies in specialized market segments. Founded in 1916, Rite in the Rain is a market leader in the design, manufacturing and distribution of weather-resistant writing products, supplying innovative paper and notebook solutions to customers in government as well as the outdoor and industrial markets through major retail distribution networks.
“We are proud to have advised Capitol Peak on this significant transaction,” Malone said. “Our longstanding relationship with Capitol Peak, built over a series of deals—including our representation of Capitol Peak in its initial purchase of Rite in the Rain in 2018—reflects the trust and collaboration we have developed over the years. We value the opportunity to support their continued success and are pleased to have helped create a successful outcome in the sale of Rite in the Rain.”
