Three Haynes and Boone Transactions Nominated for ACG Houston's Deal of the Year Awards

The Association of Corporate Growth (ACG) in Houston has selected three Haynes and Boone, LLP M&A transactions as “Deal of the Year” finalists. The winners will be announced by video on Tuesday, April 28. To watch the video, click here

Two Haynes and Boone deals are finalists in the Consumer Products and Services category:

  • Amtel Partners, LLC’s acquisition of Amtel, LLC
  • Landry's acquisition of Del Frisco's Double Eagle Steakhouses and Del Frisco's Grilles

Another Haynes and Boone deal is a finalist in two categories – Cross-border Transactions; and Oil and Gas (over $500 million):

  • Royal Dutch Shell plc’s Sale of Downstream Business in Argentina to Raizen.

Amtel Partners’ acquisition of Amtel:

A Haynes and Boone deal team led by John McGowan represented Amtel, LLC, a fast-growing T-Mobile Premium Retailer (TPR) based in Grapevine, Texas. Last year, the company was acquired by Amtel Partners, an investment vehicle sponsored by Houston-based Priest Equities, LLC. The transaction was financed through a $56 million senior credit facility and closed on Aug. 30, 2019.

Landry’s Acquisition of Del Frisco’s Steakhouse Brands

Partners Jennifer Wisinski, Paul Amiel and Sameer Saxena and a team of lawyers represented Landry’s and its owner Tilman J. Fertitta, in the acquisition by Landry's of the Del Frisco's Double Eagle Steakhouses and the Del Frisco's Grilles business from L Catterton, the largest and most global consumer-focused private equity firm, for an undisclosed price.

The deal team, led by Wisinski, Amiel and Saxena, included Haynes and Boone Partner Simin Sun and Associates Brent Beckert, Courtney Chouinard, Rachael Apfel, Brett Moore, and Camie Carlock. Partner Susan Wetzel and Associate Scott Thompson handled employee benefits and executive compensation matters and Partner Sam Lichtman handled tax aspects of the deal. Partner Monika Sanford and Associates Mitchell Heyland, Laura Shapiro and CJ Donald advised the client on financing the transaction.

Sale of Royal Dutch Shell's Downstream Business to Raízen

A Haynes and Boone team led by Partner Ricardo Garcia-Moreno represented Royal Dutch Shell and certain affiliates in the sale of its downstream business in Argentina to Raízen Combustiveis S.A. for U.S. $916 million in cash. The team also included Partners Patricia Mastropierro and Alberto de la Peña, Associate Valisa Berber-Thayer and others.

The sale included the Buenos Aires Refinery, around 665 retail stations, liquefied petroleum gas, marine fuels, aviation fuels, bitumen, chemicals and lubricants businesses, as well as supply and distribution activities in the country. The businesses acquired by Raízen will continue their relationships with affiliates of Shell through various commercial agreements negotiated in connection with such transactions with an estimated value of U.S. $300 million.
