Haynes Boone represented SACHEM, Inc., an international chemical manufacturing company based in Austin, Texas, in its restructuring to repay SACHEM’s senior $120 million credit facility through a series of complex international finance and M&A transactions.
The transactions required coordination with local counsel and personnel around the world by the Haynes Boone global team. The final transaction closed on June 3 after nearly seven months of negotiations and nearly two years of work.
Partner Jeff Nichols and Associate Bradley Potts, assisted by Associates Sam Richards and Darby Sorrels, led the negotiation of multiple credit agreement amendments, several international security agreements in the Netherlands, Japan, China and Mauritius, a bridge loan from a Japanese JV partner, and a senior lender payoff.
Nichols and Potts also assisted on the negotiation and closing of a $30 million sale of SACHEM's Dutch operations to Standard Investments.
